Shareholder FAQs to participating in the General Meeting on 26.06.2026

Participation in General Meetings

1. Am I entitled to attend and vote at the Alpha Bank SA General Meeting?

Yes, you have the right to participate, provided you were a shareholder of Alpha Bank SA on the Record Date, i.e. at the start of the 5th day before the General Meeting date.

The Record Date of the initial meeting applies to postponed or adjourned General Meetings, as long as the new meeting (due to the first one being postponed or adjourned) is held within 30 days from the Record Date.

2. How will I know that the General Meeting convenes?

The Notice to the General Meeting is issued at least 20 days before the General Meeting convenes and it is posted on the website of Alpha Bank SA, on the company’s share at the General Commercial Registry and on the website of Euronext Athens. The Invitation includes all the information you need:

  • Date, time and location for the General Meeting
  • Items on the agenda
  • Participation and voting rights with the relevant procedures
  • Minority shareholder rights

3. What are my voting rights?
 
All shareholders, holding ordinary shares of Alpha Bank SA on Sunday 21 June 2026 (“Record Date”), i.e. at the start of the 5th day before the General Meeting date, have the right to attend and vote at the General Meeting.

Each ordinary share carries 1 vote. You do not have to block your shares.

4. How will I participate in the General Meeting?

In person at Euronext Athens or remotely in real time by means of teleconference. Find out more about the terms and conditions to participate in the General Meeting.

If you cannot attend the General Meeting in person, you can appoint a proxy. In such case, you must inform the Shareholders Department about your proxy, at least 48 hours before the General Meeting date.

How to participate and vote by mail vote?

You may cast your mail vote online or in hard copy, in person or via a proxy.

Υou need to exercise your voting rights at least 24 hours before the General Meeting, i.e by 10 am on Thursday 25.06.2026.

At the AXIA e-Shareholders’ Meeting electronic platform, once you have registered for an account.

In hard copy

  1. Download the Postal vote form.
  2. Fill in the form.
  3. Print out and sign the form or digitally sign it using a qualified electronic signature (qualified certificate).
  4. Have your signature authenticated.
  5. Submit the form to the Alpha Bank SA Shareholder's Department Investor Relations in time. We must receive it 24 hours before the General Meeting at the latest, in the way you prefer:

Via a proxy

 Appoint a proxy up to 48 hours before the General Meeting, i.e. by 10 am on Wednesday 24.06.2026.

  1. Download the Proxy appointment form for mail vote.
  2. Fill in your details and the proxy’s details. You should enter the proxy’s mobile phone number and email, for them to access the electronic platform.
  3. Print out and sign the form or digitally sign it using a qualified electronic signature (qualified certificate).
  4. Have your signature authenticated.
  5. Submit the form to the Alpha Bank SA Shareholders Department Investor Relations the latest 48 hours before the General Meeting in the way you prefer:

The proxy must cast the mail vote at least 24 hours before the General Meeting, i.e. by 10 am on Thursday 25.06.2026

Appointing Proxies for General Meetings

5. Is it possible to appoint a proxy if I cannot attend a General Meeting in person?

Yes. You can appoint a proxy, in compliance with the provisions of Greek Law 4548/2018 on company law reform and the Articles of Association of Alpha Bank SA.

In such case, you must inform the Shareholders Department about your proxy, at least 48 hours before the General Meeting date.

 

6. How many proxies can I appoint in General Meetings via teleconference?
 
All shareholders, natural or legal persons, may appoint up to 3 proxies as provided in Greek Law.
 
However, any shareholder who wish to participate via a proxy, remotely in real time via teleconferencing or by mail vote, may only appoint up to 1 proxy.
 
7. Who can I appoint as a proxy?

You can appoint a person of your choice or one of the Alpha Bank SA proposed executive candidates.

The Alpha Bank SA proposed executives are listed on the respective proxy appointment form for attending in person or the proxy appointment form for remote participation by means of teleconference.

If you wish to appoint a person of your choice, you must make sure to correctly fill all their contact details in the Proxy appointment form, especially their mobile phone number and email address.

8. How can I appoint a proxy?

  1. Download the proxy appointment form for attending in person or the proxy appointment form for remote participation by means of teleconference. 

    The Proxy appointment form lists all information and items on the agenda for the specific General Meeting of Alpha Bank SA, for which you wish to appoint a proxy.
  2. Fill in your details and the proxy’s details. You should enter the proxy’s mobile phone number and email address, for them to access the electronic platform.
  3. Print out and sign the form or digitally sign it using a qualified electronic signature (qualified certificate).
  4. Have your signature authenticated.
  5. 5. Submit the form to the Alpha Bank SA Shareholders Department, 48 hours at the latest before the General Meeting:
  • By mail or in person, 17-19 Papastratou Street, GR18545, Piraeus, in hard copy (original document).

To vote by mail through a proxy, download the Proxy appointment form for mail vote and follow the instructions.

The proxy must cast the mail vote at least 24 hours before the General Meeting, i.e. by 10 am on Thursday 25.06.2026.

 
9. What will my proxy vote?

Your proxy will vote in accordance with your instructions: For / Against / Abstain. The proxy has to file these instructions for a minimum of 1 year.


If you do not provide your proxy with specific voting instructions, it is deemed that you have authorized the proxy to vote in their discretion.

If your proxy also acts on behalf of other shareholders, they may cast different votes for each shareholder, in accordance with the respective instructions they have received.

10. Can I revoke my proxy?
 
Yes, provided you inform Alpha Bank SA in writing about revoking your proxy, at least 48 hours before the General Meeting date.

General Meetings via teleconference 

11. How do I attend the teleconference?
 
To attend and vote at the General Meeting, you must have:
  • Your ID card, if you are voting in person at Euronext Athens (110 Athinon Avenue, 104 42).
  • An account at the  AXIA e-Shareholders’ Meeting electronic platform powered by Euronext Securities Athens of Euronext Athens, if you are participating remotely by means of teleconference. 

To register for an account, fill in the online registration form. You need to enter the email address and mobile phone number you have already registered with the Greek Dematerialised Securities System (DSS) for your investor share and securities account. If your contact details have changed, contact the operator of your securities account to update them.

Before the General Meeting, log in to the electronic platform to state your intent to participate in the General Meeting. You will then receive the link to log in to the General Meeting by email.

To access the teleconference you will need the unique code you or your proxy receive on the mobile phone number you have registered.

During the General Meeting, you can exercise all your legal rights. Your participation is taken into account for quorum and majority formation.

12. What is the AXIA e-Shareholders’ Meeting platform?

This is the electronic platform developed by Euronext Securities Athens of Euronext Athens for convening General Meetings remotely, in real time, via teleconference.

The electronic platform is provided by Euronext Securities Athens. The Zoom Meetings service provided by Zoom Video Communications Inc. is used for the teleconference.

13. How do I vote at the teleconference?

Voting at the teleconference takes place in real time. 

On the day of the General Meeting and at least 15 minutes before the meeting starts, as mentioned in the Invitation:

  • Follow the link you have received by email to log in to the General Meeting.
  • Enter the number of your voting rights for attending and voting at the General Meeting.

When voting on a subject of the agenda, you have 3 options: Yes / No / Abstention.

Casting a vote during the meeting through the electronic platform is irrevocable.


14. What if I do not log in on time?

If you do not log in to the electronic platform on time, before the General Meeting starts and up until the Chair of the General Meeting convenes the meeting:

  • You are not counted as an attending shareholder.
  • You cannot exercise your voting rights, take the floor or ask questions.
  • You may only watch the General Meeting in real time through the teleconference
